Terms of Service

These Terms of Service ("Terms") govern your access to and use of this website (the "Site"), operated by LTB ("LTB," "we," "us," or "our"). By accessing or using the Site, submitting an inquiry, or otherwise engaging with us through it, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

LTB is a boutique legal, tax, and banking advisory and corporate services practice. LTB is not a bank, payment institution, or electronic money institution, does not hold client funds, and does not itself issue bank accounts, cards, or licenses. LTB's role is to advise on, structure, and coordinate engagements, and, where noted on the relevant service page, to carry out certain work directly; regulated activity that LTB does not perform directly (such as opening a bank account, filing a tax return, or filing a visa application) is carried out by the licensed, regulated third-party professional engaged for that purpose within LTB's network. References on the Site to "we open," "we place," or similar language describe this coordination and representation role, and should not be read as a representation that LTB itself performs the underlying regulated act unless expressly stated.

Browsing the Site, submitting the contact form, or exchanging preliminary correspondence with LTB does not, by itself, create a client relationship, an attorney-client relationship, an advisory relationship, or any other professional relationship between you and LTB. A client relationship is formed only upon LTB's express written confirmation of an engagement, typically documented in a separate engagement letter or agreement that sets out its specific scope, fees, and terms. Until that point, any information you submit is treated as a preliminary, confidential inquiry only, as reflected in the acknowledgment you provide when submitting the contact form.

By using the Site, you represent that you are at least 18 years of age and, where you are submitting an inquiry on behalf of a company or other entity, that you are authorized to do so.

The content of the Site, including any explanation of a jurisdiction, regulatory mechanism, or industry issue, is provided for general informational purposes only and does not constitute legal, tax, financial, or other professional advice. It is not a substitute for advice tailored to your specific circumstances by a licensed professional. LTB advises businesses operating in industries including gambling and iGaming, adult content and services, and other online activities that are frequently characterized as high-risk. You are solely responsible for ensuring that your business activities are, and remain, lawful in every jurisdiction in which you operate, are licensed, bank, or reside, and for obtaining and maintaining any license, registration, or authorization your activity requires. Nothing on the Site should be understood as advice that a particular activity is lawful in any given jurisdiction, or as a substitute for jurisdiction-specific licensing or regulatory advice from qualified local counsel.

LTB structures and presents each engagement based on professional judgment and experience, and works with reputable, established professionals in its network. However, outcomes such as the grant of a license, the approval of a bank account, the success of a visa or relocation application, or the resolution of a regulatory or banking dispute ultimately depend on the decision of a third-party regulator, bank, or authority outside LTB's control. LTB does not, and cannot, guarantee any particular outcome, and no statement on the Site should be construed as such a guarantee.

All content on the Site, including text, graphics, logos, and the LTB name and marks, is the property of LTB or its licensors and is protected by applicable intellectual property laws. You may view and print content from the Site for your own personal, non-commercial reference, but you may not reproduce, distribute, modify, or create derivative works from any part of the Site without LTB's prior written consent.

You agree not to: use the Site for any unlawful purpose; attempt to gain unauthorized access to the Site or any related system; interfere with the Site's operation or security; submit false, misleading, or fraudulent information through the contact form; or use any automated means to access or scrape the Site without our prior written consent.

Certain matters LTB is engaged for are carried out by independent, licensed professionals in LTB's network, including local accountants, tax advisers, visa and immigration providers, and banking relationship contacts. These professionals are independent of LTB, and, except as otherwise agreed in a specific engagement letter, LTB is not liable for their acts or omissions, though LTB selects and coordinates with these professionals with reasonable care. The Site may also contain links to third-party websites, over which LTB has no control and for which LTB accepts no responsibility.

The Site and its content are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. LTB does not warrant that the Site will be uninterrupted, secure, or error-free.

To the fullest extent permitted by applicable law, LTB, its principals, employees, and network professionals shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or in connection with your use of the Site, regardless of the theory of liability, even if LTB has been advised of the possibility of such damages. Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded, including liability for fraud or for death or personal injury caused by negligence.

You agree to indemnify and hold harmless LTB and its principals, employees, and network professionals from any claim, liability, damage, or expense (including reasonable legal fees) arising from your misuse of the Site, your violation of these Terms, or your violation of any applicable law or third-party right.

LTB treats inquiries and, where an engagement proceeds, the details of that engagement, as confidential in accordance with our Privacy Policy and standard professional practice. Any specific confidentiality commitments relevant to an active engagement are set out in the applicable engagement letter.

These Terms are governed by the laws of [Insert governing jurisdiction], without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts of [Insert jurisdiction], save that LTB may seek injunctive or equivalent relief in any jurisdiction where necessary to protect its rights.

We may revise these Terms from time to time. The updated version will be indicated by a revised "Last updated" date, and continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

These Terms, together with our Privacy Policy and, where applicable, a specific engagement letter, constitute the entire agreement between you and LTB regarding your use of the Site, superseding any prior agreements regarding the same subject matter.
